Why Deed Drafting Is Not a Template Job

Many people download a format from the internet, fill in the names and take it to the Sub-Registrar. The trouble is that a deed is only as good as its fit with your specific facts. The property description must match the records exactly, the parties’ capacity and title must be stated correctly, the consideration and stamp duty must be right, and the operative clauses (possession, indemnity, encumbrance declarations, society transfer) must actually protect the person relying on the document. A generic format cannot know that your seller inherited the flat, that a mortgage still needs to be released, or that the society needs to issue a fresh share certificate.

The Deeds and Documents We Draft

How the Process Works

The process is the same in principle for most deeds, and knowing the steps helps you plan.

1. Understand the transaction. We start with the facts: who the parties are, how the property came to the current owner, what has been agreed, and what documents already exist.

2. Verify the documents and title. For sales and other transfers, we check the papers behind the deed. Where the transaction warrants it, a full title due diligence report is the right first step.

3. Draft and settle. We prepare the draft, explain the key clauses in plain language, and revise it after your comments and, where relevant, the other party’s.

4. Stamp duty. We work out the stamp duty and registration fee payable on the correct value. Rates and concessions change, so we check the current position rather than rely on a standard figure. 5. Execution and registration. The parties sign, witnesses attend, and the deed is presented for registration at the jurisdictional Sub-Registrar’s office with the required identity documents, photographs and biometrics. We guide you through the appointment so you know exactly what to bring.

6. After registration. Where needed, we follow up on society transfer, mutation and record updates so the paperwork after the deed does not get left behind.

What to Keep Ready

Having documents ready speeds everything up. For most property deeds, that means identity and address proof and PAN of all parties, the existing title documents for the property (previous agreements or deeds, share certificate, society NOC if applicable), property tax and maintenance receipts, and any earlier loan or mortgage papers.
